Was wondering if it would be able to run D3, or If I would have to upgrade?

Are you equal to or greater then the above? If yes then you can, if you aren't then no.
Right off the bat I can tell you no. You will need to upgrade to XP SP3 before you can run diablo 3. Other than that, I have a feeling you may be able to run it... but it will suck. I remember trying to run SC2 on my old laptop.. it ran on low settings but looked like absolute shit.

I believe that operating system actually is Windows Vista Service Pack 2 so no need to "upgrade" to XP. Other than that, yes it will run, but it's quite close to minimum specs.
