If I were to guess, it's because your installation defaulted to Direct3D mode. Because the coding is kind of heavy and sloppy in Diablo II (which is also what contributed to many of the glitches), its engine is a bit shaky and causes lag in that mode even with some better computers (or computers that definitely out-spec the requirements).
I would try going to Start->All Programs-> Diablo II->Video Test. When the pop-up window shows, click Skip Test. Then select the DirectDraw (2D) option and hit OK. It should run much better, then.
I hope that helps.
(And the reason windowed mode runs faster is because it is running in DirectDraw (2D) mode.)
Nobody here has the slightest idea what your problem is... I can tell you that by using 2d mode, you will get strange color artifacting. What you want is a glide wrapper program (sven wrapper is one). Then you need to copy glide.dll to your windows\system folder. From there, add "-3dfx" to your shortcut.
Run the shortcut in compatibility mode for win98, with "disable desktop composition" and "disable visual themes" boxes checked.
You should be good to go, type "/fps" in the chat box in a d2 game. in the upper right hand corner, it should now say "3dfx glide".

On another note, the use of glide wrapper tech has not been cleared with blizz, so do this at your own risk.
Personally, I think they would not care, but, to each his own. I believe its against the board rules to post links to 'cracks' or 'hacks', so I didnt post a direct link. Google should do you fine.
Solving this problem took me forever, so hopefully someone else will benefit here.
