A subsidiary company, subsidiary, or daughter (lol @ sister) company is a company that is completely or partly owned and partly or wholly controlled by another company that owns more than half of the subsidiary's stock.
I wouldn't say this was formulated in the reader's mind. They're one financial entity made up of 2 autonomous companies, owned by one conglomerate. It's easier for Vivendi to handle finance if they make their entire game studios portfolio into a single entity... named after the two biggest companies owned by it.

It's fine to state facts, like you did in the OP of course.
